Terms of Service

By creating an account or using BoardMetric you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to these terms in full. If you do not agree, do not use the platform.

BoardMetric is an AI-powered financial analytics platform. It allows users to upload financial data, ask plain-English questions about that data, generate AI-assisted reports, and view forecasts and dashboards. The platform is provided for informational and business reporting purposes only and does not constitute financial, investment, accounting, legal, or professional advice of any kind.

• You are solely responsible for the accuracy and legality of data you upload.
• You must not upload data you do not own or have the right to use.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must not use the platform for any unlawful purpose or in violation of any applicable law or regulation.
• You must not attempt to reverse-engineer, decompile, or otherwise access the source code of the platform.
• You must not use automated means to scrape, crawl, or extract data from the platform without prior written consent.

BoardMetric uses artificial intelligence, specifically Anthropic's Claude API, to generate plain-English insights, summaries, forecasts, and reports based on data you upload. By using the platform you acknowledge and agree to the following:

• AI outputs are not professional advice. Nothing generated by BoardMetric's AI constitutes financial, investment, accounting, legal, or tax advice. Always consult a qualified professional before making decisions based on AI-generated content.
• AI outputs may be inaccurate. AI-generated insights, forecasts, and summaries are based solely on the data you upload and may contain errors, omissions, or inaccuracies. BoardMetric does not guarantee the accuracy, completeness, or reliability of any AI-generated output.
• Your data is not used to train AI models. Your uploaded files and financial data are sent to Anthropic solely to generate your requested output. Neither BoardMetric nor Anthropic uses your data to train, fine-tune, or improve any AI model. This is governed by our agreement with Anthropic under their business API terms.
• Third-party AI processing disclosure. By using the platform you acknowledge that relevant portions of your uploaded data are processed by Anthropic (a third party) as described in our Privacy Policy. Anthropic's own usage policies apply to this processing in addition to our terms.
• Automated decision-making. AI-generated insights involve automated processing of your financial data. You retain full control over how you use or act on these outputs and are not required to act on any AI-generated recommendation.

BoardMetric is a reporting and analytics tool. The platform, its AI outputs, forecasts, benchmarks, and all content are provided for informational purposes only. Nothing on this platform should be interpreted as financial advice, investment advice, accounting advice, legal advice, or any other form of professional advice. Industry benchmarks referenced in AI outputs are sourced from publicly available data and may not reflect current or accurate market conditions. BoardMetric is not a registered financial advisor, broker, accountant, or legal professional.

BoardMetric, its codebase, design, branding, and original content are owned by BoardMetric and protected by applicable intellectual property laws. Your uploaded data and any reports generated from it remain your property. You grant BoardMetric a limited, non-exclusive licence to process your data solely for the purpose of providing the service to you.

To the maximum extent permitted by applicable law, BoardMetric and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the platform, including but not limited to: errors or inaccuracies in AI-generated reports or insights; financial decisions made based on AI outputs; data loss or corruption; or any third-party conduct. Our total liability to you for any claim shall not exceed the amount you paid to BoardMetric in the 12 months preceding the claim.

You agree to indemnify and hold harmless BoardMetric and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, your violation of these terms, or your violation of any third-party rights.

Your use of the platform is governed by our Privacy Policy, which is incorporated into these terms by reference. By using the platform you agree to our data practices as described in the Privacy Policy.

BoardMetric offers a free plan and a paid Pro plan. The free plan provides limited access as described on our pricing page. The Pro plan is billed monthly in advance at the rate displayed at checkout. A 14-day free trial is available for new Pro subscribers — no payment is taken during the trial period. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods except where required by applicable law. We reserve the right to change pricing with 30 days' notice to existing subscribers.

You may delete your account at any time by contacting us at hello@boardmetric.app. We reserve the right to suspend or terminate your account at any time for violations of these terms, fraudulent activity, or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the platform ceases immediately.

Any dispute arising from these terms or your use of BoardMetric shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English. Nothing in this clause prevents either party from seeking injunctive relief in a court of competent jurisdiction.

These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. If you are located in the European Union, nothing in these terms limits your statutory rights under applicable EU law including GDPR.

We may update these terms at any time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms. The current version of these terms is always available at boardmetric.app/terms.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
